Non-binding Offer
Caprail Advisors will help you run an efficient and effective process including establishing the deal team, articulating the strategic rationale, outlining value drivers, listing key assumptions, conducting due diligence, creating the business case, valuing the business, outlining the bidding strategy, securing internal governance and making the offer.
Binding Offer
When you reach the second round, the resources and costs escalate quickly. Caprail Advisors will guide you to leverage the work from the NBO phase; confirm the strategic rationale, validate key assumptions, update the business case, revalue the opportunity, refine the bidding strategy, mark-up key agreements and submit the binding offer. We will get you through this stage quickly and efficiently.
Negotiation
Getting to a signed M+A transaction typically requires the negotiation of several related agreements. While employing a capable attorney is vital, an experienced transaction negotiator will link the deal assumptions and integration plans into the definitive agreements. Caprail will help you navigate counterparty negotiations and internal governance. We act as lead negotiator, drive the team to sign the definitive agreements, and close the deal while balancing the inherent transaction value and risk equation.
Integration
This is when the deal transitions from theory into reality. Integration should not be left until the end. Caprail incorporates the integration program at the NBO phase and continues to evolve it through to the negotiation of definitive agreements. Finally, we create a detailed integration plan linked to value drivers and key mitigation plans. The focus is on Day 100 delivery against key milestones to maximize the probability of integration success.
